Managed Hosting & Website Terms of Service
Effective Date: June 2, 2026
These Terms of Service ("Agreement") govern the use of hosting, website development, website maintenance, domain registration, business email, and related services provided by SiegeBreak Studio LLC ("SiegeBreak Studio LLC," "Company," "we," "us," or "our").
By purchasing, accessing, or using any service provided by SiegeBreak Studio LLC, the Client ("Client," "Customer," "you," or "your") agrees to be bound by this Agreement.
1. Services
SiegeBreak Studio LLC provides managed hosting, website creation, website maintenance, business email, domain registration, domain renewal, Concrete CMS services, proprietary SiegeBreak Studio LLC software components, and related digital services.
Service features, limitations, and included resources are determined by the Client's selected service plan and may be modified by SiegeBreak Studio LLC upon reasonable notice.
2. Account Eligibility
Clients must provide accurate and complete account information.
The Client is responsible for maintaining the confidentiality of all account credentials and for all activity occurring under their account.
The Client shall promptly notify SiegeBreak Studio LLC of any unauthorized access or security concerns.
3. Billing and Payments
All services are billed in advance.
Monthly hosting plans automatically renew unless canceled by the Client.
Setup fees are non-refundable once onboarding, account provisioning, domain registration, website development, or service configuration has begun.
Failure to pay invoices by the due date may result in suspension or termination of services.
Accounts suspended for non-payment may be subject to reactivation fees.
4. Refund Policy
Due to the custom nature of website development, domain registration, software configuration, maintenance services, and hosting resource allocation, all payments are non-refundable unless otherwise required by law.
Domain registration fees, renewal fees, setup fees, development fees, and maintenance fees are non-refundable once services have commenced.
5. Domain Registration and Renewals
Where included, SiegeBreak Studio LLC may register or renew domain names on behalf of the Client.
The Client is responsible for ensuring that domain registration information remains accurate.
SiegeBreak Studio LLC shall not be responsible for domain expiration, transfer delays, registry actions, or third-party registrar issues beyond its reasonable control.
5.1 Domain Ownership Disputes
SiegeBreak Studio LLC shall not be responsible for resolving ownership disputes involving domain names, website content, trademarks, business names, accounts, intellectual property, or access credentials.
Any such disputes must be resolved by the parties involved or through appropriate legal processes. SiegeBreak Studio LLC may restrict access, suspend changes, or require verification documentation until ownership disputes are resolved.
6. Website Development Services
Hosting plans may include website creation services utilizing Concrete CMS and SiegeBreak Studio LLC proprietary website components.
Website development shall not begin until all required onboarding materials have been received.
Required materials may include:
- Logos
- Images
- Business information
- Contact information
- Website content
- Branding guidelines
- Requested approvals
Estimated project timelines begin only after all required materials have been received.
Published timeline estimates are goals only and are not guaranteed completion dates.
6.1 Abandoned Projects
The Client acknowledges that timely communication and delivery of required materials are necessary for successful project completion.
If the Client fails to provide requested materials, approvals, content, credentials, responses, or other required information for a period of thirty (30) consecutive calendar days, SiegeBreak Studio LLC may classify the project as abandoned.
Abandoned projects may be removed from active scheduling queues and development resources may be reassigned to other clients.
Reactivation of an abandoned project may require payment of a project reactivation fee, additional setup fee, or placement into the current development queue according to the Client's selected service tier.
Any published project timelines shall be automatically extended by the duration of the Client's delay.
6.2 Client Content and Ownership Responsibilities
The Client represents and warrants that it owns, licenses, or otherwise possesses all necessary rights to any content, materials, trademarks, logos, photographs, videos, graphics, text, documents, software, or other materials submitted to SiegeBreak Studio LLC.
The Client shall be solely responsible for ensuring that all submitted materials comply with applicable laws and do not infringe upon the rights of any third party.
SiegeBreak Studio LLC shall have no obligation to independently verify ownership, licensing rights, permissions, or legal compliance of Client-provided materials.
The Client agrees to defend, indemnify, and hold harmless SiegeBreak Studio LLC from any claims, damages, liabilities, costs, expenses, or attorney's fees arising from Client-provided materials.
6.3 Accessibility and Regulatory Compliance
Unless expressly agreed to in writing, SiegeBreak Studio LLC does not represent, warrant, or guarantee that any website, application, content, or service will comply with accessibility standards, ADA requirements, WCAG standards, governmental regulations, healthcare regulations, financial regulations, educational regulations, industry-specific requirements, or other legal compliance obligations.
The Client remains solely responsible for determining and maintaining any compliance requirements applicable to its business or industry.
6.4 SEO Disclaimer
Any search engine optimization ("SEO") services, recommendations, modifications, metadata improvements, content adjustments, or technical optimizations performed by SiegeBreak Studio LLC are provided on a best-effort basis.
SiegeBreak Studio LLC does not guarantee search engine rankings, search engine indexing, website traffic, lead generation, conversions, revenue, business growth, or placement within search engine results.
Search engine algorithms, policies, and ranking factors are controlled by third parties and may change without notice.
7. Initial Website Revision Period
Following delivery of the initial website build, the Client shall be entitled to submit revision requests for fourteen (14) calendar days.
Revision requests may include reasonable modifications within the originally approved project scope.
Requests involving significant redesigns, additional functionality, custom development, e-commerce systems, membership systems, portals, or scope expansions may be declined or quoted separately.
If no revision requests are received within fourteen (14) calendar days, the website shall be deemed accepted by the Client.
8. Website Maintenance Services
Website maintenance services are subject to the limitations of the Client's selected hosting plan.
Modification allotments reset every Monday at 12:00 AM Eastern Time.
Unused modifications do not carry over between weeks.
One (1) modification includes any one of the following:
- Up to four (4) media block updates;
- Up to two (2) text updates;
- One (1) layout change.
Text update limits vary by service tier.
SiegeBreak Studio LLC reserves the sole right to determine whether a request constitutes one or multiple modifications.
8.1 Excessive Modification Requests
SiegeBreak Studio LLC reserves the right to consolidate, prioritize, defer, reject, or require clarification for excessive, repetitive, fragmented, duplicate, abusive, or unreasonable modification requests.
Multiple requests submitted simultaneously may be grouped into a single maintenance queue and processed according to the Client's selected service tier.
8.2 Scope Determination Authority
SiegeBreak Studio LLC shall have sole discretion in determining whether a request constitutes a modification, multiple modifications, maintenance work, custom development, redesign work, consulting, troubleshooting, excluded services, or services outside the scope of the Client's selected plan.
Such determinations shall be final for purposes of maintenance allotments and service limitations.
9. Excluded Services
Unless expressly stated otherwise, hosting plans do not include:
- Copywriting
- Ghostwriting
- Marketing content creation
- Major redesigns
- E-commerce functionality
- Membership systems
- Portals
- Advanced integrations
- Custom software development
- Custom application development
- API development
- Custom package development
- Requests exceeding the included modification limits
Excluded services may be quoted separately.
10. Modification Processing Times
Website modifications are processed according to the Client's service tier.
Target processing windows are:
Tier 1: 7–14 business days
Tier 2: 5–10 business days
Tier 3: 3–7 business days
Tier 4: 1–5 business days
Processing windows are estimates only and are not guaranteed.
Processing times may be extended due to workload, project complexity, missing materials, approval delays, emergencies, holidays, or factors outside our reasonable control.
11. Client Approval Requirement
Unless the Client grants publication authorization under Section 12, completed modifications shall remain unpublished until approved by the Client.
The Client shall review completed work and provide approval within fourteen (14) calendar days.
Failure to respond within fourteen (14) calendar days may result in the request being considered accepted and closed.
12. Optional Publishing Authorization
The Client may authorize SiegeBreak Studio LLC to approve and publish requested modifications without obtaining additional approval before deployment.
Such authorization may be granted through account settings, onboarding documentation, support tickets, written communication, or other methods approved by SiegeBreak Studio LLC.
By granting publication authorization, the Client agrees that:
(a) SiegeBreak Studio LLC may publish completed modifications immediately upon completion;
(b) Published content may become publicly accessible without additional notice;
(c) The Client remains responsible for reviewing published content;
(d) SiegeBreak Studio LLC shall not be liable for errors, omissions, or inaccuracies contained in Client-provided content.
The Client may revoke publication authorization at any time through written notice.
13. Proprietary Software and Intellectual Property
SiegeBreak Studio LLC retains all rights, title, and interest in:
- SiegeBreak Studio LLC custom blocks
- Concrete CMS extensions developed by SiegeBreak Studio LLC
- Plugins
- Themes
- Software components
- Frameworks
- Proprietary code
- Development methodologies
Hosting plans that include proprietary components grant the Client a limited, non-exclusive, non-transferable license to use such components only while maintaining an active subscription.
Ownership of proprietary components does not transfer to the Client.
Upon termination of service, SiegeBreak Studio LLC may discontinue, disable, replace, or remove proprietary software requiring an active subscription.
13.1 Reverse Engineering Restrictions
Clients shall not copy, reproduce, distribute, sublicense, sell, lease, reverse engineer, decompile, disassemble, modify, recreate, scrape, extract source code from, or create derivative works from any SiegeBreak Studio LLC proprietary software, blocks, plugins, themes, frameworks, integrations, or related technology except where expressly permitted by applicable law.
14. Acceptable Use Policy
Clients shall not use services to:
- Violate any applicable law;
- Distribute malware or malicious software;
- Conduct phishing activities;
- Send spam or unsolicited communications;
- Host illegal content;
- Infringe intellectual property rights;
- Interfere with server operations;
- Abuse shared hosting resources.
SiegeBreak Studio LLC reserves the right to suspend or terminate services that violate this Agreement.
14.1 Harassment and Abuse
Clients shall not engage in abusive, threatening, harassing, discriminatory, defamatory, fraudulent, intimidating, or otherwise inappropriate conduct directed toward SiegeBreak Studio LLC personnel, contractors, partners, vendors, or representatives.
Violation of this section may result in immediate suspension or termination of services.
14.2 Resource Abuse
Clients shall not utilize services in a manner that unreasonably consumes shared server resources, degrades platform performance, interferes with other customers, or creates excessive operational burdens.
SiegeBreak Studio LLC reserves the right to throttle, suspend, restrict, or require service upgrades for accounts generating excessive resource utilization.
14.3 Client-Caused Security Incidents
The Client shall be solely responsible for vulnerabilities, malware infections, service interruptions, data loss, unauthorized access, compromised accounts, or security incidents resulting from software, applications, plugins, code, credentials, configurations, modifications, or actions performed by the Client or any party acting on the Client's behalf.
15. Email Services
Email services are provided on an as-available basis.
SiegeBreak Studio LLC does not guarantee email delivery to all recipients or networks.
Clients are responsible for complying with applicable anti-spam laws and email marketing regulations.
16. Backups and Data Protection
Certain plans may include automated backup services.
While reasonable efforts are made to maintain backups, SiegeBreak Studio LLC does not guarantee backup availability, accuracy, completeness, or recovery success.
Clients remain solely responsible for maintaining independent copies of important data.
16.1 Data Retention and Deletion
Following cancellation, termination, expiration, or suspension of services, SiegeBreak Studio LLC may retain Client data for up to thirty (30) calendar days for administrative, backup, recovery, legal, or operational purposes.
After the retention period expires, SiegeBreak Studio LLC may permanently delete and destroy any or all account data, website files, databases, email accounts, backups, logs, and other stored information without further notice.
The Client is solely responsible for obtaining copies of all data prior to cancellation or termination.
SiegeBreak Studio LLC shall have no liability for data loss resulting from account cancellation, termination, suspension, or deletion.
17. Suspension and Termination
SiegeBreak Studio LLC may suspend or terminate services immediately if:
- Payment is overdue.
- The Client violates this Agreement;
- The Client engages in unlawful activity;
- Continued service poses security, legal, operational, or reputational risks.
Termination does not relieve the Client of outstanding payment obligations.
17.1 Chargebacks and Payment Disputes
The Client agrees that initiating a chargeback, payment reversal, payment dispute, or similar claim for services that were delivered, provisioned, registered, developed, maintained, or otherwise provided by SiegeBreak Studio LLC constitutes a material breach of this Agreement.
Upon receipt of a chargeback or payment dispute, SiegeBreak Studio LLC may immediately suspend access to services, websites, hosting accounts, email accounts, domains, support services, maintenance services, and related resources pending resolution of the dispute.
The Client shall remain responsible for all fees, costs, collection expenses, attorney's fees, chargeback fees, administrative fees, and damages incurred by SiegeBreak Studio LLC as a result of any improper or fraudulent chargeback.
Nothing in this section shall limit the Client's rights under applicable consumer protection laws.
17.2 Migration and Transfer Assistance
Upon cancellation or termination of services, any migration assistance, account transfers, website exports, data exports, consultation services, transition services, or third-party coordination requested by the Client may be billed at SiegeBreak Studio LLC's then-current rates.
17.3 Right to Refuse Service
SiegeBreak Studio LLC reserves the right to refuse, decline, postpone, discontinue, or terminate any project, request, content submission, account, website, modification request, or service for legal, operational, ethical, technical, security, reputational, business, or resource-management reasons.
18. Service Availability
Services are provided on an "as available" and "as is" basis.
SiegeBreak Studio LLC does not guarantee uninterrupted service, continuous availability, or error-free operation.
Scheduled maintenance, emergency maintenance, third-party failures, internet outages, cyberattacks, software defects, and force majeure events may result in interruptions.
Suspension may occur without prior notice where reasonably necessary to protect company systems, infrastructure, personnel, customers, reputation, legal compliance, or security.
18.1 Third-Party Services Disclaimer
SiegeBreak Studio LLC relies upon third-party providers, including but not limited to registrars, hosting vendors, infrastructure providers, software vendors, SSL certificate providers, email providers, payment processors, cloud providers, and open-source software projects.
SiegeBreak Studio LLC shall not be liable for interruptions, defects, security incidents, policy changes, feature removals, software incompatibilities, pricing changes, account suspensions, outages, or failures caused by third-party services or providers.
19. Limitation of Liability
To the maximum extent permitted by law, SiegeBreak Studio LLC shall not be liable for:
- Loss of profits;
- Lost revenue;
- Lost business opportunities;
- Data loss;
- Service interruptions;
- Third-party actions;
- Security incidents;
- Indirect, incidental, consequential, special, or punitive damages.
In no event shall SiegeBreak Studio LLC's total liability exceed the amount paid by the Client during the three (3) months preceding the event giving rise to the claim.
19.1 Limitation Period for Claims
Any claim, action, dispute, or proceeding arising from or relating to the services provided by SiegeBreak Studio LLC must be commenced within one (1) year after the cause of action arises.
Any claim not brought within such period shall be permanently barred to the fullest extent permitted by law.
20. Indemnification
The Client agrees to defend, indemnify, and hold harmless SiegeBreak Studio LLC, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, expenses, or legal fees arising from:
- Client content;
- Client conduct;
- Violation of this Agreement;
- Violation of applicable law;
- Intellectual property disputes involving Client-provided materials.
21. Changes to Services
SiegeBreak Studio LLC reserves the right to modify, improve, discontinue, or replace services, software, hosting infrastructure, service features, maintenance limits, and platform functionality at any time.
22. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of North Carolina, without regard to conflict of law principles.
Any dispute arising from this Agreement shall be resolved in the courts located within North Carolina.

24. Publication Authorization Consent
Certain hosting plans permit Clients to authorize SiegeBreak Studio LLC to review, approve, publish, and deploy website modifications without obtaining additional approval before publication.
Where a Client selects or otherwise agrees to such authorization through a checkout process, onboarding form, account setting, support request, electronic signature, written communication, or similar method, such authorization shall constitute valid consent under Section 12 of this Agreement.
The Client may revoke publication authorization at any time by providing written notice to SiegeBreak Studio LLC.
Revocation shall apply only to future modification requests and shall not affect modifications already published.
25. Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
26. Entire Agreement
These Terms of Service, together with any applicable policies, service descriptions, order forms, invoices, or written agreements incorporated by reference, constitute the entire agreement between the Client and SiegeBreak Studio LLC regarding the services provided.
No verbal statements, representations, promises, or understandings shall modify this Agreement unless expressly agreed to in writing by SiegeBreak Studio LLC.
27. Force Majeure
SiegeBreak Studio LLC shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, internet outages, cyberattacks, denial-of-service attacks, utility failures, labor disputes, governmental actions, acts of war, terrorism, epidemics, pandemics, supplier failures, or failures of third-party providers.
During such events, service obligations may be suspended or delayed without liability.
28. Electronic Communications
The Client consents to receive notices, invoices, service updates, legal notices, support communications, and other communications electronically through email, client portals, ticket systems, or other electronic means.
Electronic communications shall satisfy any legal requirement that such communications be provided in writing.
By purchasing or using any service provided by SiegeBreak Studio LLC, the Client acknowledges that they have read, understood, and agree to these Terms of Service.
